These terms cover how you use our website and services. By using vertexinternet.com or hiring us, you agree to what's written here. Please read it. If something doesn't sit right, talk to us before you go ahead.

In these terms, "Vertex", "we", "us" and "our" mean Vertex Internet Services, an MSME-registered enterprise based in Rewa, Madhya Pradesh, India. "You" means the person or company using our site or services.

Who we are and what we do

Vertex builds software, provides technology consulting, runs managed hosting, develops custom SaaS, and integrates AI and data services. The exact scope, timeline and price of any work are set out in a separate proposal or agreement signed by both sides. If that agreement and these terms ever disagree, the signed agreement wins.

Using the website

You may use the site for lawful purposes only. You agree not to:

• Break the law or infringe anyone's rights while using it.
• Try to gain unauthorised access to our systems or data.
• Upload anything harmful, or disrupt how the site works for others.
• Copy or reuse our content without written permission.

Proposals and engagements

Anything on this site is general information, not a binding offer. Work starts once we've agreed a scope in writing and you've confirmed it. Changes to that scope may change the timeline and the cost, and we'll tell you before we act on them.

Fees and payment

• Fees, payment schedule and currency are set out in your proposal or invoice.
• Invoices are due by the date stated on them. Late payment may pause work.
• Unless stated otherwise, fees are exclusive of applicable taxes, which you pay on top.
• Online payments are handled by third-party payment gateways. By paying, you also accept the gateway's terms.

Intellectual property

The Vertex name, logo, website and its content belong to us. On delivered project work, ownership of the final deliverables transfers to you once we've been paid in full, unless your agreement says otherwise. We keep the right to reuse our own general know-how, tools and pre-existing components.

Confidentiality

Each side agrees to protect the other's confidential information and to use it only for the work at hand. This holds during the engagement and after it ends.

Warranties and disclaimers

We deliver our services with reasonable skill and care. Beyond that, the website and its content are provided "as is", without warranties of any kind. We don't guarantee the site will always be available, error-free or free of harmful components.

Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental or consequential losses, including lost profits or data. Our total liability for any claim connected to an engagement is limited to the fees you paid us for that engagement in the three months before the claim arose.

Indemnity

You agree to cover us against claims and costs that come from your misuse of the site or your breach of these terms.

Termination

Either side may end an engagement as set out in the signed agreement. On termination, you pay for work done up to that point. Sections that are meant to last, like confidentiality and intellectual property, carry on afterwards.

Governing law

These terms are governed by the laws of India. Any dispute will be handled by the courts of Rewa, Madhya Pradesh.

Changes to these terms

We may update these terms from time to time. The current version always lives on this page, with the date shown at the top. Continuing to use the site after a change means you accept it.
